Forming a technology start-up company can be done quickly, simply and efficiently. There are a number of fundamental issues, however, that founders should be aware of and think through as part of the formation process. This presentation will discuss a number of such fundamental issues, including choice of jurisdiction and entity type, how to structure founder equity and considerations with respect to a start-up company's directors, officers and advisors.
Peter K. Osborn is a senior associate in the WilmerHale Venture Group and the Corporate Practice Group, representing private companies with respect to corporate law matters. He advises clients on issues concerning formation, governance, seed financings, venture capital financings, equity and compensation, securities laws and mergers and acquisitions. Prior to joining the firm, Mr. Osborn was an associate at a firm in New York, where his practice focused on structured finance matters. He represented issuers and underwriters in public and private securitizations and lenders in repurchase financings and warehouse lending arrangements.
